1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Bross ("we", "us", "our") governing your access to and use of the brossbot.com website, the Bross dashboard, and all associated Discord bots and services (collectively, the "Services").

By accessing or using any part of the Services — including adding a Bross bot to your Discord server — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms in their entirety, you must cease using our Services immediately.

2. Eligibility

To use our Services, you must:

• Be at least 13 years of age (or the minimum age required by Discord in your country).
• Have a valid, active Discord account in good standing.
• Have the legal authority to enter into this agreement (or have parental/guardian consent).
• Not be prohibited from using the Services under any applicable law or regulation.

If you are using the Services on behalf of an organization or Discord server, you represent that you have the authority to bind that entity to these Terms.

3. Account & Access

3.1 Authentication

The Bross dashboard is accessed via Discord OAuth2. You are responsible for maintaining the security of your Discord account and are solely responsible for all activities that occur through your account in connection with the Services. Notify us immediately at [email protected] if you suspect unauthorized access to your account.

3.2 Account Suspension

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the integrity of the Services.

4. Permitted & Prohibited Uses

4.1 Permitted Uses

You may use the Services to:

• Manage, moderate, and automate your Discord servers in compliance with Discord's Terms of Service.
• Configure bot behaviors via the dashboard for your own servers.
• Use premium features in accordance with your active subscription plan.

4.2 Prohibited Uses

You agree not to:

• Use the Services to violate any applicable local, national, or international law or regulation.
• Use the Services to harass, threaten, stalk, bully, or harm any individual or group.
• Attempt to probe, scan, or test the vulnerability of any Bross system or network, or breach any security measures.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services.
• Use automated scripts, bots (other than the Bross bots themselves), or other means to access or interact with the Services in an unauthorized manner.
• Use the Services to distribute spam, malware, phishing content, or any other malicious material.
• Impersonate Bross, its staff, or any other individual or entity.
• Attempt to circumvent any rate limits, subscription restrictions, or access controls.
• Resell, sublicense, or otherwise commercially exploit the Services without prior written consent from Bross.
• Use the member management or data features (e.g., Bross. Members) in violation of Discord's Terms of Service, including unauthorized data collection or user tracking.

Violation of any prohibited use may result in immediate termination of your access and, where applicable, referral to relevant law enforcement authorities.

5. Discord Integration & Compliance

Our Services operate within and are dependent upon Discord's platform. By using our Services, you also agree to comply with Discord's Terms of Service and Community Guidelines. We are not responsible for any actions Discord takes against your account or server as a result of your use of our Services.

Discord may change their API, permissions model, or terms at any time. We will make reasonable efforts to adapt our Services accordingly, but we are not liable for any disruption caused by Discord's platform changes.

6. Premium Services & Payments

6.1 Subscription Plans

Certain features are available exclusively through paid subscription plans ("Premium Services"). Plan details, pricing, and feature availability are described on our website and may be updated from time to time.

6.2 Billing

Subscriptions are billed on a monthly or annual basis as selected at purchase. Payments are processed securely by Stripe. By providing your payment information, you authorize us to charge the applicable fees on your selected billing cycle.

6.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through the dashboard settings. Cancellation takes effect at the end of the current billing period; you retain access to premium features until then.

6.4 Price Changes

We reserve the right to change our subscription pricing. If your plan price increases, we will provide at least 30 days' written notice before the change takes effect for active subscribers. Your continued use after the effective date constitutes acceptance of the new pricing.

6.5 Refund Policy

Subscription fees are generally non-refundable. Exceptions may be made at our sole discretion in cases of:

• A verified billing error on our part.
• Prolonged service outages (>48 consecutive hours) directly attributable to Bross infrastructure.
• Duplicate charges.

7. Intellectual Property

All content, branding, logos, bot code, dashboard design, and documentation are the exclusive intellectual property of Bross and are protected by copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for their intended purpose.

You may not copy, modify, distribute, sell, or create derivative works based on any part of the Services without our explicit prior written consent. Any feedback, suggestions, or feature requests you provide may be used by us without any obligation or compensation to you.

8. User-Generated Content

You retain ownership of any content you submit to the Services (e.g., server configurations, support messages). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store that content solely to provide and improve the Services. You represent that your content does not infringe any third-party rights and does not violate any applicable law.

9. Service Availability & Modifications

We strive to maintain high availability of our Services, including a target uptime of 99.9% for premium users. However, we do not guarantee uninterrupted, error-free, or continuous access. Scheduled maintenance will be announced in advance where possible via our Discord server.

We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time. In the event of a discontinuation affecting premium subscribers, we will provide at least 14 days' notice and offer a prorated refund for the unused subscription period.

10. Disclaimers & Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.

Your use of the Services is entirely at your own risk. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not fully apply to you.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BROSS AND ITS DEVELOPERS, OFFICERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Services.
• Any unauthorized access to or alteration of your data.
• Actions or content of third parties (including Discord) in connection with the Services.
• Any other matter relating to the Services.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO BROSS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $10 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bross and its developers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law; (c) your violation of any third-party right, including Discord's Terms of Service; or (d) any content you submit to or through the Services.

13. Termination

You may stop using the Services at any time by removing our bots from your server and deleting your account through the dashboard. We may terminate or suspend your access immediately, without prior notice or liability, for any reason including breach of these Terms. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification) shall survive.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or the courts of the relevant jurisdiction, as required by applicable law.

Nothing in these Terms prevents you from filing a complaint with your local consumer protection authority or data protection supervisory authority.

15. Changes to Terms

We may revise these Terms at any time. When we make material changes, we will update the "Last Updated" date and notify users via our Discord server or dashboard. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the new Terms, you must stop using the Services.
